Except as set forth in the limited licenses in Section 6 below, or as required under applicable law, neither the Content nor any portion of the Site may be used, reproduced, duplicated, copied, sold, resold, accessed, modified, or otherwise exploited, in whole or in part, for any purpose without our express, prior written consent.
6. Limited Licenses
We grant you a limited, revocable, non-transferrable, and non-exclusive license to access and make personal and non-commercial use of the Site. This limited license does not include the right to: (a) frame or utilize framing techniques to enclose the Site or any portion thereof; (b) republish, redistribute, transmit, sell, license or download the Site or any and/or all Content (except caching or as necessary to view the Site); (c) make any use of the Site or any and/or all Content other than personal use; (d) modify, reverse engineer or create any derivative works based upon either the Site or any and/or all Content; (e) collect account information for the benefit of yourself or another party; (f) use any meta tags or any other "hidden text" utilizing any and/or all Content; or (g) use software robots, spiders, crawlers, or similar data gathering and extraction tools, or take any other action that may impose an unreasonable burden or load on our infrastructure. Any unauthorized use by you of the Site or any and/or all of our Content automatically terminates the limited licenses set forth in this Section 6 without prejudice to any other remedy provided by applicable law or these Terms and Conditions.
7. Your Obligations and Responsibilities
In the access or use of the Site, you shall comply with these Terms and Conditions and the special warnings or instructions for access or use posted on the Site. You shall act always in accordance with the law, custom and in good faith. You may not make any change or alteration to the Site or any Content or services that may appear on this Site and may not impair in any way the integrity or operation of the Site. Without limiting the generality of any other provision of these Terms and Conditions, if you violate any of these Terms and Conditions, you shall be liable for all the losses and damages that this may cause to AHAVA North America LLC, our affiliates, partners or licensors.
8. Your Account
You may choose to register at our Site if you are over thirteen (13) years of age. Do not register if you are not over thirteen (13) years of age. If you are over thirteen (13) years of age and do register, you will have an email address/username and password for your account. You are responsible for maintaining the confidentiality of your account, username and password and for restricting access to your computer. You are responsible for keeping such information current, complete, accurate and truthful. You agree to accept responsibility for all activities that occur under your account, username and/or password. You agree to provide only current, complete, accurate and truthful information. If you make a Submission, you represent and warrant that you own or otherwise control the rights to your Submission. YOU AGREE THAT NO CLAIMS OR ACTION ARISING OUT OF, OR RELATED TO, THE USE OF THE SITE OR THESE TERMS AND CONDITIONS MAY BE BROUGHT BY YOU MORE THAN ONE (1) YEAR AFTER THE CAUSE OF ACTION RELATING TO SUCH CLAIM OR ACTION AROSE.
To the fullest extent permitted by law, you agree to defend, indemnify and hold harmless AHAVA North America LLC, its subsidiaries, licensors and affiliated companies, and their officers, directors, employees, contractors and agents from and against any and all claims, causes of action, damages, obligations, losses, liabilities, costs or debt, and expenses, including reasonable attorneys' fees and costs, and all amounts paid in settlement resulting from any third party claim, action, or demand resulting from your use of the Site or your breach of these Terms and Conditions. You also agree to indemnify us for any loss, damages, or costs, including reasonable attorneys' fees, resulting from your use of software robots, spiders, crawlers, or similar data gathering and extraction tools, or any other action you take that imposes an unreasonable burden or load on our infrastructure.
16. Disputes Resolution
DISPUTE RESOLUTION BY BINDING ARBITRATION
PLEASE READ CAREFULLY. IT AFFECTS YOUR RIGHTS.
Any dispute, controversy or claim arising out of or relating to any aspects of the relationship between you and Ahava North America LLC shall be submitted to arbitration administered by the American Arbitration Association (“AAA”) in accordance to its then existing Consumer Arbitration Rules. This arbitration agreement includes, but is not limited to, disputes, controversies or claims:
- based in contract, including, but not limited to, its existence, validity, breach, enforcement, interpretation or termination, and
- based in tort, statute, or any other legal theory.
The AAA Consumer Arbitration Rules are available at www.adr.org.
Arbitration is more informal than a lawsuit in court. It uses a neutral arbitrator instead of a judge or jury, allows for more limited discovery than in court, and is subject to very limited review by courts. Arbitrators can award the same damages and relief that a court can award.
By agreeing to arbitration, the parties understand and agree that they are waiving their rights to maintain other available resolution processes, such as a court action or administrative proceeding, to settle their disputes.
Unless the parties agree otherwise, any arbitration hearings will take place in the county of your billing address. If your claim is for $5,000 or less, Ahava North America LLC agrees that you may choose whether the arbitration will be conducted solely on the basis of documents submitted to the arbitrator, through a telephonic hearing, or by an in-person hearing as established by the AAA Consumer Arbitration Rules. If your claim exceeds $5,000, the right to a hearing will be determined by the AAA Consumer Arbitration Rules.
The number of arbitrators shall be one. The arbitrator shall have the power to rule on his or her own jurisdiction, including, but not limited to, any objections with respect to the existence, scope, or validity of the arbitration agreement or to the arbitrability of any claim or counterclaim.
Any claim shall be brought only in the party’s individual capacity, and shall not in any case be brought by the party as a plaintiff or class member in any purported class or representative proceeding.
The arbitrator’s award shall be binding on all parties, and judgment upon the award may be entered by any court of competent jurisdiction.
The Federal Arbitration Act (Title 9 of the U.S. Code) shall govern the interpretation, enforcement and enforcement of this arbitration agreement as well as proceedings pursuant to this arbitration agreement.
This arbitration agreement shall survive termination of the relationship between you and Ahava North America LLC and any contract giving rise to the dispute, controversy or claim.
A party who intends to seek arbitration must first send to the other, by certified mail, a written Notice of Dispute ("Notice"). The Notice to Ahava North America LLC should be addressed to: Ahava NA, 330 7th Avenue, New York NY 10001 ("Notice Address"). The Notice must (a) describe the nature and basis of the claim or dispute; and (b) set forth the specific relief sought ("Demand"). If an agreement to resolve the claim is not reached within 30 days after the Notice is received, any party may commence an arbitration proceeding. During the arbitration, the amount of any settlement offer made by a party shall not be disclosed to the arbitrator until after the arbitrator determines the amount, if any, to which a party is entitled.
Ahava North America LLC will reimburse you for your payment of the filing fee unless your claim is greater than $200. If you unable to pay this fee, Ahava North America LLC will pay it directly upon receiving a written request at the Notice Address.
17. Governing Law
These Terms and Conditions shall be governed, construed, and enforced in accordance with the laws of the State of New York, without regard to its conflict of laws rules.
18. Consent to Receive Notices Electronically by Posting on the Site and Via Email
You acknowledge and agree that these Terms and Conditions constitute the complete and exclusive agreement between us concerning your use of the Site, and supersede and govern all prior proposals, agreements, or other communications.
We reserve the right, in our sole discretion, to change these Terms and Conditions at any time by posting the changes on the Site and providing notice of such change. Any changes are effective immediately upon posting to the Site and release of notice of such change. Your continued use of the Site thereafter constitutes your agreement to all such changed Terms and Conditions. We may, with or without prior notice, terminate any of the rights granted by these Terms and Conditions. You shall comply immediately with any termination or other notice, including, as applicable, by ceasing all use of the Site.
Nothing contained in these Terms and Conditions shall be construed as creating any agency, partnership, or other form of joint enterprise between us. Our failure to require your performance of any provision hereof shall not affect our full right to require such performance at any time thereafter, nor shall our waiver of a breach of any provision hereof be taken or held to be a waiver of the provision itself. In the event that any provision of these Terms and Conditions shall be unenforceable or invalid under any applicable law or be so held by any applicable arbitral award or court decision, such unenforceability or invalidity shall not render these Terms and Conditions unenforceable or invalid as a whole but these Terms and Conditions shall be modified, to the extent possible, by the adjudicating entity to most fully reflect the original intent of the parties as reflected in the original provision.

AHAVA North America LLC, ahava.com has the right, in addition to any other available remedies, to close customer accounts or require alternative forms of payment if a fraudulently obtained AHAVA E-Gift Card is redeemed or sought to be redeemed.
AHAVA NORTH AMERICA LLC AND ITS AFFILIATES MAKE NO WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO EGIFT CARDS, INCLUDING WITHOUT LIMITATION ANY EXPRESS OR IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. IF AN AHAVA EGIFT CARD CODE IS NONFUNCTIONAL, THE SOLE REMEDY, AND OUR SOLE LIABILITY, SHALL BE TO REPLACE THE AHAVA EGIFT CARD. CERTAIN STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS OR LIMITATIONS MAY BE INAPPLICABLE AND ADDITIONAL RIGHTS MAY APPLY.

Additional Suggested Clauses:
AHAVA North America LLC may terminate or suspend your access to or ability to use the Site immediately, without prior notice or liability, for any reason or no reason, including breach of these Terms and Conditions. In particular, AHAVA North America LLC may immediately terminate or suspend accounts that have been flagged for repeat copyright infringement. Upon termination of your access to or ability to use the Site, your right to use or access the Site will immediately cease. These Terms and Conditions shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, and limitations of liability. Termination of your access to and use of the Site shall not relieve you of any obligations arising or accruing prior to termination or limit any liability that you otherwise may have to AHAVA North America LLC or any third party.
Payments for any purchases on the Site shall be made by credit card, or gift card, or PayPal.
